TAPP FILM INC. SUBMISSION TERMS AND CONDITIONS

These Terms and Conditions ("Terms") govern your participation in the TAPP Film submission process. By submitting a film for consideration, you ("Submitter", "You") agree to be bound by these Terms and any future updates thereto.

1. DEFINITIONS

1.1 "TAPP Film" refers to the TAPP Film Platform, its affiliates, subsidiaries, successors, assigns, officers, directors, agents, employees, licensors, and partners.

1.2 "Film" means the audiovisual work submitted, including all associated materials: synopsis, trailer, stills, posters, press kit, and any linked documents or media.

1.3 "Submitter" includes the person or entity completing the submission form, and all individuals or companies listed in the submission, including directors, producers, distributors, representatives, or institutions.

1.4 "Selected Film" refers to a Film that has been formally chosen by TAPP Film for inclusion on its platform.

2. ELIGIBILITY

2.1. Submissions are open to filmmakers and rights holders globally, provided the Submitter is at least 18 years of age at the time of submission.

2.2. The Submitter must be the lawful copyright holder of the Film or have full legal authority to act on behalf of the copyright holder(s).

2.3. TAPP Film reserves the right to require proof of age, identity, and legal authority at any stage.

2.4. Any false representation may result in immediate disqualification and permanent exclusion from the platform.

3. SUBMISSION REQUIREMENTS

3.1. Films must be complete and may include feature-length films, TV movies, documentaries, episodic series, shorts, animation, web series, stand-up comedies, reality shows, and music videos.

3.2. Each submission must include:

• Full credits and creative personnel (cast, crew, etc.)

• Film viewing link with password (if applicable)

• Trailer link

• Promotional images, poster(s), press kit (optional but encouraged)

• Language information and English subtitles (if film is not in English)

• Details of any existing distribution agreements, festival screenings, awards, or licensing history

3.3. Incomplete submissions or those not meeting technical specifications may be rejected without notice.

3.4. All content must comply with applicable local, national, and international laws.

4. REPRESENTATIONS AND WARRANTIES

By submitting a Film, you represent and warrant that:

4.1. You have the full legal right and authority to submit the Film, including all underlying works (scripts, music, footage, etc.).

4.2. You have obtained all necessary rights, permissions, and clearances for public streaming, exhibition, reproduction, and marketing.

4.3. The Film does not infringe upon or violate any copyright, trademark, trade secret, privacy right, publicity right, contract, or other rights of any person or entity.

4.4. The Film does not contain any material that is defamatory, obscene, libelous, hateful, unlawful, or otherwise objectionable.

4.5. No other party is entitled to any payment or consideration as a result of the use, reproduction, or exhibition of the Film by TAPP Film.

5. LICENSE GRANT TO TAPP FILM

5.1. By submitting a Film, you grant TAPP Film a non-exclusive, royalty-free, worldwide license to:

• Review the Film for consideration;

• Use up to 60 seconds of video, stills, trailers, and associated marketing materials for internal evaluation and public promotional purposes;

• Publish your name, likeness, role, biography, and Film details in connection with TAPP Film's marketing, editorial, or public communications.

5.2. This license remains in effect for evaluation and promotional use unless you withdraw your submission in writing before selection.

5.3. If your Film is not selected, TAPP Film will retain a copy for internal record-keeping and audit purposes for up to 24 months, after which the submission and all associated media may be deleted in accordance with our Privacy Policy. You may also request earlier deletion by contacting info@tappfilm.com, subject to any legal or compliance obligations TAPP Film may have.

5.4. For Selected Films, further rights will be governed by a separate licensing agreement.

6. SELECTION & LICENSING

6.1. Film selection is entirely at TAPP Film's discretion and may consider artistic merit, originality, alignment with platform values, diversity, technical quality, and other factors.

6.2. Selected Submitters will be contacted and invited to execute a Formal Licensing Agreement, which may include:

• Exclusive or non-exclusive digital distribution rights;

• Streaming term length;

• Revenue share provisions;

• Content format and deliverable requirements;

• Geographic or audience restrictions.

6.3. Failure to execute the Licensing Agreement within the timeframe provided may result in revocation of selection.

6.4. The Submitter shall bear full responsibility for all costs associated with the preparation and delivery of distribution-ready materials, including formatting, conversions, or other technical processing by third-party vendors, as required by TAPP Film.

7. EXISTING DISTRIBUTION, BROADCAST & LICENSING AGREEMENTS

7.1. Submitters must disclose all prior, pending, or current distribution agreements, broadcast deals, licensing arrangements, and prior public releases (online or otherwise).

7.2. TAPP Film will not be held responsible for any conflicts arising from a Submitter's failure to disclose or accurately represent such agreements.

7.3. Films subject to exclusive streaming restrictions elsewhere may be deemed ineligible.

8. ERRORS & OMISSIONS (E&O) INSURANCE

8.1. TAPP Film may, at its discretion, request evidence of valid Errors and Omissions Insurance, particularly for high-profile or commercial projects.

8.2. Failure to provide proof upon request may result in withdrawal of selection or inability to publish the Film.

9. DISQUALIFICATION

TAPP Film reserves the right to disqualify any submission at any stage for any of the following reasons:

• Fraudulent or incomplete information;

• Breach of these Terms;

• Failure to meet submission or technical criteria;

• Legal dispute regarding ownership or rights;

• Content that violates applicable laws or infringes rights.

No refund of any submission fees will be granted in the event of disqualification.

10. FEES AND PAYMENT

10.1. Submission fees (if applicable) are payable at the time of submission through TAPP Film's secure payment gateway.

10.2. All fees are non-refundable, regardless of selection outcome.

10.3. A payment confirmation receipt will be sent to the provided email address.

11. CONFIDENTIALITY

11.1. TAPP Film will treat all submission materials as confidential until public release or selection announcement.

11.2. Submitter grants permission for non-confidential use of film title, description, promotional materials, and individual names involved in the project for marketing and curation purposes.

12. LIMITATION OF LIABILITY

12.1. TAPP Film shall not be held responsible for:

• Technical failures in submission or hosting platforms;

• Unauthorized access to or loss of submitted content;

• Any damage, injury, or loss arising from participation in the submission process or subsequent selection.

12.2. Submitters agree to hold TAPP Film harmless against any claim, damage, or liability arising from the submission, exhibition, or distribution of their Film.

13. INDEMNITY

You agree to indemnify, defend, and hold harmless TAPP Film, its affiliates, employees, officers, and partners from and against any and all claims, losses, damages, liabilities, costs, and expenses (including legal fees) arising out of:

• Breach of any warranty, representation, or obligation under these Terms;

• Any claim that the Film violates the rights of a third party;

• Any legal dispute regarding the Film's ownership, content, or licensing.

14. PRIVACY

All personal information submitted will be processed in accordance with TAPP Film's Privacy Policy. TAPP Film will not sell or distribute personal data without your consent except where required by law.

15. TERMINATION & WITHDRAWAL

15.1. Submitters may withdraw their submission prior to selection by notifying TAPP Film in writing at info@tappfilm.com.

15.2. After a Film is selected and licensing agreement executed, withdrawal may only occur under the terms of that agreement.

15.3. TAPP Film reserves the right to terminate a submission or selection at its sole discretion for violation of these Terms.

15.4. TAPP Film may terminate or suspend submission programs at any time due to platform restructuring, category closures, or permanent shutdowns. In such cases, TAPP Film shall not be liable for any damages or expectations arising from the termination.

16. FORCE MAJEURE

TAPP Film shall not be held liable for any failure or delay in performance under these Terms due to causes beyond its reasonable control, including but not limited to natural disasters, war, pandemic, civil unrest, government restrictions, power failures, or internet outages.

17. GOVERNING LAW & JURISDICTION

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the country of Canada. Any disputes shall be resolved exclusively in the courts of Ontario.

18. AMENDMENTS

TAPP Film reserves the right to update or modify these Terms at any time without prior notice. Continued participation in the submission process after any such changes constitutes your acceptance of the revised Terms.

19. ENTIRE AGREEMENT

These Terms constitute the entire agreement between TAPP Film and the Submitter with respect to the submission process and supersede all prior oral or written agreements regarding the subject matter herein.
